Effective Date and Agreement Overview
These Terms of Service ("Terms") entered into on October 26, 2023, govern your access to and use of the BotMatrix platform (the "Platform"). By creating an account, accessing the Platform, or using the Services, you agree to be bound by these Terms.
BotMatrix provides a developer platform for building, testing, and deploying AI-powered bots and automation pipelines. These Terms supersede any prior agreements regarding use of the Platform. If you do not agree to these Terms, you must not register for an account or use the Services.
BotMatrix reserves the right to modify these Terms at any time. Continued use of the Platform following the posting of revised Terms constitutes acceptance of those changes.
Account Registration and Eligibility
To access the BotMatrix platform, you must be at least eighteen (18) years old or have the consent of a parent or guardian. You represent that all information you provide during registration is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify BotMatrix immediately of any unauthorized use of your account or any other breach of security.
BotMatrix reserves the right to refuse service to anyone for any reason at its sole discretion. Accounts used for spamming, abuse, or malicious purposes will be terminated immediately.
Acceptable Use Policy
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Automation generated through BotMatrix must comply with applicable laws and regulations, including data protection and privacy laws.
Permitted Use Cases: You may use the Platform to build automation for internal business processes, customer service bots, data processing pipelines, and authorized third-party integrations.
Prohibited Activities: You must not use the Platform to generate spam, conduct fraud, facilitate illegal acts, or bypass security controls (e.g., CAPTCHAs, authentication mechanisms). You must not use the Platform to infringe upon the intellectual property rights of others or to distribute malware.
Service Levels, Uptime Commitments, and Maintenance
BotMatrix strives to provide a reliable and highly available service. The specific uptime guarantees depend on your subscribed plan tier.
Uptime Commitment: BotMatrix guarantees a Monthly Uptime Percentage of 99.97% for Growth and Enterprise plans. The Free tier does not guarantee uptime.
Maintenance Windows: Scheduled maintenance is performed during low-traffic windows, typically between 02:00 and 04:00 UTC on Tuesdays. Critical patches may be deployed outside of these windows.
BotMatrix will notify customers of significant planned outages at least 48 hours in advance via email and in-app notifications. In the event of a service outage exceeding the agreed SLA, credits may be issued at BotMatrix's sole discretion.
Billing, Payment, and Refund Terms
BotMatrix operates on a subscription basis. You are responsible for all fees incurred under your account.
Payment Methods: We accept credit cards and wire transfers for Enterprise customers. All subscriptions are auto-renewed at the then-current rate unless canceled at least seven (7) days before the renewal date.
Refunds: We offer a prorated refund policy for cancellations made within fourteen (14) days of the initial subscription date. After this period, no refunds are provided for the remaining balance of the current billing cycle.
Usage Fees: Billing is based on the number of pipeline executions processed per month. Usage exceeding the included tier limits will be billed at the standard execution rate (e.g., $0.0015 per execution).
Intellectual Property
BotMatrix owns all rights, title, and interest in and to the Platform, including but not limited to the software, source code, APIs, databases, and documentation.
You retain ownership of all pipeline code, configurations, and data you create, upload, or store on the Platform. You grant BotMatrix a non-exclusive, worldwide, royalty-free license to use, copy, and modify your pipeline code solely for the purpose of providing the Services and improving the Platform.
You represent that you have all necessary rights to upload and use any third-party data or models in your pipelines. You are responsible for ensuring your use of third-party models complies with their respective licenses.
Limitation of Liability and Indemnification
To the maximum extent permitted by law, BotMatrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Indemnification: You agree to indemnify, defend, and hold harmless BotMatrix and its affiliates from any claims, damages, expenses, or losses arising out of your use of the Platform in violation of these Terms or any applicable law.
Limitations: In no event shall BotMatrix's total liability to you for all claims exceed the amount you paid, if any, for the Services in the twelve (12) months preceding the claim.
Governing Law and Contact
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be resolved exclusively in the courts of Berlin, Germany. You consent to the personal jurisdiction of such courts.
